Universal Terms of Service & Membership Agreement

1. ACCEPTANCE
By purchasing a membership, entering into any Scope of Work ("SOW"), or accessing assets owned by RevOps HQ LLC ("we," "us," "our"), you ("Client," "Member," "User") agree to be bound by these Terms. If you disagree, do not complete checkout or sign an SOW.
2. KEY DEFINITIONS
"Memberships" – seat-based subscriptions that grant access to content, office-hour calls, or other benefits described at purchase.
"Professional Services" – consulting, implementation, development, RevOps, or creative work rendered under a written SOW.
"Deliverables" – any work product we create for you.
"Site" – every domain, sub-domain, and HubSpot-hosted page operated by RevOps HQ LLC.
3. SCOPE & CHANGE ORDERS
Membership features may evolve; materially equivalent resources will be substituted when necessary.
Services begin only after (i) initial payment clears and (ii) you provide all requested access and information.
Work outside an executed SOW requires a written Change Order and is billed at the hourly rate stated in that Change Order.
4. FEES, BILLING & PAYMENT
Memberships renew automatically at the cadence shown during checkout.
Professional-Service invoices follow the fixed-fee, milestone, hourly, or retainer structure stated in the applicable SOW.
Balances more than five (5) days past due accrue 1.5 percent interest per month (18 percent APR) or the maximum lawful rate, whichever is lower.
You authorize us to charge the payment method on file for all sums due.

6. INTELLECTUAL PROPERTY
Upon full payment, you receive a worldwide, non-transferable, royalty-free license to use Deliverables internally. RevOps HQ LLC retains ownership of all underlying methodologies, templates, and generalized know-how.
7. CONFIDENTIALITY & NON-SOLICITATION
Each party will protect the other's Confidential Information with reasonable care and use it solely to perform this Agreement. For twelve (12) months after the most recent engagement, you will not solicit or hire our employees or subcontractors without written consent (liquidated damages = 40 percent of the individual's first-year compensation).
8. SECURITY & DATA PROTECTION
We align our internal guidelines with industry frameworks—RevOps best practices, OWASP Top 10 secure-coding principles, and ISO 31000 risk-management concepts. This alignment is advisory, not a certification.
Sub-processors. We rely on infrastructure providers such as HubSpot, AWS, and Supabase that hold SOC 2 Type II and/or ISO 27001 certifications. RevOps HQ LLC itself has not completed a SOC 2 audit but inherits many security controls through these vendors. A current sub-processor list is available on request.
All payment-card data is tokenized and processed by HubSpot's PCI-DSS-validated gateway. We store only the billing and contact data required for tax, fraud, and audit purposes.
9. DISCLAIMERS
Services and Deliverables are provided "AS IS" without warranties of any kind, express or implied. We do not guarantee specific business outcomes and do not provide legal or tax advice.
10. LIMITATION OF LIABILITY
Neither party is liable for indirect, incidental, special, or consequential damages. Our total aggregate liability under these Terms is limited to the amounts you actually paid us in the twelve (12) months preceding the claim.
11. INDEMNIFICATION
You will defend and indemnify RevOps HQ LLC against claims arising from (i) your misuse of Deliverables, (ii) content or data you supply, or (iii) your violation of applicable law or third-party rights.
12. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the State of New York, USA. All disputes shall be resolved by binding arbitration under the American Arbitration Association Commercial Rules. The prevailing party is entitled to reasonable attorneys' fees.
13. FORCE MAJEURE
Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, cyber-attacks, war, or pandemics.
14. MODIFICATIONS
We may update these Terms by posting a revised version and emailing notice to the billing contact. Continued use after the effective date constitutes acceptance. Material changes will not apply retroactively to active SOWs unless mutually agreed.
15. ENTIRE AGREEMENT & SEVERABILITY
These Terms, plus any SOW or policy referenced herein, constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.
